As an ICF Professional, in accordance with the Standards of the ICF Code of Ethics, I acknowledge and agree to fulfill my ethical and legal obligations to my coaching Client(s), Sponsor(s), colleagues and to the public at large. If I breach any part of the ICF Code of Ethics, I agree that ICF in its sole discretion may hold me accountable for so doing. Description of Coaching
Coaching is a partnership between the Coach and Client in a thought-provoking and creative process that inspires the maximization of personal and professional potential. While it is not a legally binding relationship, coaching is designed to facilitate the creation and development of personal and/or professional goals, and to develop and carry out a strategy and action plan for achieving those goals with accountability in mind.
Coach-Client Relationship
A. The Coach agrees to maintain the International Coaching Federation’s (ICF) ethics and standards of behavior.
B. The Client is solely responsible for creating and implementing their own physical, mental, and emotional well-being, decisions, choices, actions, and results arising from the coaching relationship with the Coach. The Client agrees that the Coach is not liable for any actions or inactions or for any direct or indirect results of any services provided by the Coach.
C. The Client acknowledges that they may terminate or discontinue the coaching relationship at any time.
D. The Client recognizes that coaching is a comprehensive process that may involve various areas of life, including work, finances, health, relationships, education, and recreation. The Client agrees that deciding how to address these issues and implementing choices is their sole responsibility.
E. The Client acknowledges that coaching is not a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice from qualified professionals. The Client understands it is their responsibility to seek such independent professional guidance as needed. The Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association. If the Client is currently under the care of a mental health professional, it is recommended that they inform the mental health care provider of the nature and extent of the coaching relationship.
F. The Client agrees to enhance the coaching relationship by communicating honestly, maintaining openness to feedback, and creating the time, energy, and space to participate fully in the program.
Coaching Services
The Client and Coach agree to engage in a coaching program determined during the intake session, which includes:

Confidentiality
The coaching relationship is bound by the principles of confidentiality set forth in the ICF Code of Ethics. Unlike the medical and legal professions, information shared in the coaching relationship (documented or verbal, including recorded sessions) is not considered legally confidential and thus is not subject to any legally recognized privilege. The Coach and ICF Mentor(s) agree not to disclose any information pertaining to the Client without the Client’s written consent.
ICF Code of Ethics
According to the ethics of our profession, topics may be shared anonymously and hypothetically with other coaching professionals for training, supervision, mentoring, evaluation, and professional development purposes.
Termination
Either the Client or the Coach may terminate this Agreement at any time with 24 hours of email or text notice.
Limited Liability
Except as expressly provided in this Agreement, the Coach makes no guarantees, representations, or warranties regarding the coaching services rendered. The Coach shall not be liable for any indirect, consequential, or special damages. The Coach’s entire liability under this Agreement shall be limited to the amount actually paid by the Client for all coaching services rendered up to and including the termination date.
Entire Agreement
This document reflects the entire agreement between the Coach and the Client, representing a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered, or supplemented except in writing signed by both the Coach and the Client.
Applicable Law
This Agreement shall be governed and construed in accordance with the laws of the State of [State], without giving effect to any conflicts of laws provisions.
